The Profitable Myofunctional Therapist™

12-Module Program

Please read this document carefully. By purchasing and participating in The Profitable Myofunctional Therapist™ 12-Module Program (the “Program”), you (the “Client,” “Student,” or “you”) agree to the following Terms and Conditions between you and Carmen Ball or The Profitable Myofunctional Therapist LLC (“Company,” “we,” or “us”).

Participants

This Program, The Profitable Myofunctional Therapist™, is intended and only suitable for individuals aged 18 and above who have already completed training in myofunctional therapy (for example, through LMT60, MyoMentor, AOMT, IAOM, or a substantially similar training program). This Program provides business, marketing, and practice-growth education. It does not include clinical training or clinical skill instruction. It is your responsibility to make sure that you meet this training requirement before enrolling.

Professional and Licensure Responsibility

This Program provides business, marketing, and practice-growth education and does not provide clinical training or clinical instruction. You are solely responsible for determining what services you are legally permitted to provide under your own license, credentials, scope of practice, jurisdiction, employer policies, and insurance requirements. The Company makes no representation regarding the legality or appropriateness of any service, strategy, or offer in your specific jurisdiction or practice setting.

Terms of Use, Privacy Policy, & Disclaimer

The Company’s Terms of Use, Privacy Policy, and Disclaimer are hereby incorporated by reference into this Agreement. Except as modified by this Agreement, each of those agreements and policies shall apply fully to your participation in the Program. In the event of a conflict between any of those policies and this Agreement, this Agreement shall govern.

Nature of the Relationship

Nothing in this Agreement shall be construed to create a partnership, joint venture, employment, or agency relationship. The Company is agreeing only to provide Client with access to the Program, which provides business education and information. The information contained in the Program, including any interactions with Carmen Ball or other instructors, is not intended as, and shall not be understood or construed as, professional advice.

Client understands that Carmen Ball and The Profitable Myofunctional Therapist LLC are not acting as a therapist, counselor, or medical professional; a financial advisor, accountant, or attorney; a marketing agency or business manager; or an employment, referral, or placement service. The Program provides coaching, mentorship, guidance, feedback, and strategic education in a group setting.

No specific results are guaranteed, and no income claims are made.

Fees

In consideration of your access to the Program, you agree to pay the following fees:

Pay In Full: $4,997

Pay In Full (Credit Card): $5,247

3-Payment Plan: $1,800 x 3 ($5,400 total)

You may choose a single payment of $4,997 (due immediately), a single payment of $5,247 if paying by credit card (due immediately), or a 3-payment plan of $1,800 per installment for a total of $5,400. If you select the 3-payment plan, you must pay the initial installment today, and your selected payment method will be automatically charged for each of the two remaining installments on a monthly basis thereafter until paid in full.

You remain responsible for completing all payments in full regardless of your level of participation in the Program. You may not cancel or avoid these payments. In the event that any payment is not made, the Company shall immediately suspend your access to the Program and may proceed with legal action to collect delinquent accounts.

Payment Plan Authorization

If paying by debit card or credit card, you give us permission to automatically charge your credit or debit card for all fees and charges due and payable to the Company, without any additional authorization, for which you will receive an electronic receipt. You also agree that the Company is authorized to share any payment information and instructions required to complete the payment transactions with its third-party payment service providers (e.g., credit card transaction processing, merchant settlement, and related services).

If you elect the payment plan, you hereby authorize the Company to charge your credit card or debit card automatically according to the terms set forth in the Fees section above.

For recurring payments and outstanding invoices, if all payment methods we have on file for you are declined for payment of your installment, you must provide a new payment method promptly or your Program access will be terminated.

You are required by law to complete the remaining payments of your payment plan, and you authorize us (without notice to you, unless required by applicable law) to collect any and all outstanding payments, using any eligible payment method we have on record for your account.

Refunds

The Company does not offer refunds for this Program. All sales are final. By enrolling, you agree to complete your selected payment term in full regardless of your level of participation.

Chargeback Threats

Since the Company has a clear refund policy, it does not tolerate any sort of chargeback threat or chargeback from the Client’s credit card or payment processor.

In the event that a chargeback is placed on a purchase, the Company reserves the right to report the chargeback to all three credit reporting agencies or to any other entity for reporting delinquent accounts, which may have a negative impact on the Client’s credit report or credit score.

The reported information will include the Client’s name, email address, purchase date, purchase amount, and billing address. Chargeback abusers wishing to be removed from the databases shall make payment for the amount of the chargeback plus any outstanding fees associated with collection of the account.

The Program

Company agrees to provide the 12-Module Program as outlined on the registration page, which may include pre-recorded modules, downloadable resources, and private groups or forums operated by Company, whether hosted on a website by the Company or a third-party website or platform such as an online course platform or community platform. As a condition of participating in the Program, you agree to be bound by and to abide by all policies and procedures set out in this Agreement, including those incorporated by reference.

As part of the Program, the Company shall provide the following to the Client:

Program Modules – The Program is delivered through twelve pre-recorded modules. Modules may be released to you on a schedule communicated at the time of enrollment rather than all at once, and the Company reserves the right to change that release schedule.

Access Period – You shall have access to the Program modules and resources for six months from the date of enrollment. After that six-month period ends, you will have the option to continue your access by joining a membership for a small monthly fee.

Email Support – As a member of the Program, you will have access to unlimited email support, processed Monday–Thursday as a priority. Response times may vary during periods when Carmen is out of office, and no specific response time is guaranteed.

Bonuses – From time to time, the Company will offer bonuses to individuals who sign up for the Program. You shall be entitled to any bonuses offered to you at the time of registration.

This Program focuses on business development, strategic planning, implementation support, and CEO identity-building.

This Program does not include clinical training or clinical skill instruction.

To access the Program’s online materials and community, you may need a username and password. You agree to keep your username and password confidential. If the Company has reasonable grounds to suspect that you have shared your username and password with anyone else, or forwarded or shared non-public material from the Program with another person, the Company has the right to suspend or terminate your account without a refund, and to proceed with legal action to the fullest extent of the law.

Module Availability

Module content is pre-recorded and available to you within your access period. No makeup sessions, credits, or individual rescheduling apply to this Program.

The Company reserves the right to re-record, replace, or otherwise modify the delivery of any module due to technical failure, third-party platform outages, or other circumstances affecting delivery. Reasonable modification of a module by the Company does not create a right to a refund or credit.

Program Changes

The Company reserves the right to reasonably update or change instructors, module content, release schedules, resources, bonuses, platforms, or delivery methods used in the Program, provided the overall substance of the Program is maintained.

Community Conduct

You are strictly forbidden from:

  • Causing damage to any Company website or third-party forums operated by the Company
  • Using any Company website or third-party forums operated by the Company for any unlawful, illegal, fraudulent, or harmful purpose or activity
  • Using any Company website or third-party forums operated by the Company to copy, store, host, transmit, send, use, publish, or distribute any spyware, virus, worm, Trojan horse, keystroke logger, or other malicious software
  • Using any Company website or third-party forums operated by the Company to transmit, send, or deliver unsolicited communications or for other marketing or advertising purposes
  • Systematically or automatically collecting data from any Company website or third-party forums operated by the Company
  • Sharing private and proprietary information from the Program or other participants with anyone else
  • Harassment, unwanted contact, or inappropriate direct messages directed at other participants or Company representatives
  • Soliciting other participants to purchase products or services outside of the Program
  • Discriminatory speech, hate speech, comments, or actions against another member based on their sex, gender, age, ethnicity, race, socio-economic status, disability, or other labels

Violation of any of the above may result in removal from the Program community or the Program itself, without a refund, as further described in the Termination and Access Restriction section below.

Ownership of All Intellectual Property

All content included as part of the Program, such as text, graphics, logos, images, as well as the compilation thereof, and any software used in the Program, is the property of the Company or its suppliers and protected by copyright and other laws that protect intellectual property and proprietary rights.

The Company name, the Company logo, the Company slogan, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates or licensors. You must not use such marks without the prior written permission of the Company. All other names, logos, product and service names, designs, and slogans in the Program are the trademarks of their respective owners.

Your participation in the Program does not result in a transfer of any intellectual property to you, and, as a condition of participation in the Program, you agree to observe and abide by all copyright and other intellectual property protection.

You are granted a single-use, non-exclusive, non-transferable, revocable license to access and use the Program content and resources. You agree that you will not modify, publish, transmit, reverse engineer, participate in the transfer or sale, create derivative works, or in any way exploit any of the content, in whole or in part, found in the Program.

The Company content is not for resale. Your participation in the Program does not entitle you to make any unauthorized use of any protected content, and in particular you will not delete or alter any proprietary rights or attribution notices in any content. You will use protected content solely for your individual use, and will make no other use of the content without the express written permission of the Company. You agree that you do not acquire any ownership rights in any protected content.

You are strictly prohibited from uploading or distributing Content to any website, platform, software, or database where it could be accessed or replicated by ChatGPT or other artificial intelligence technologies.

Your use of any materials found in the Program or Content other than that expressly authorized in this Agreement or by a separate written assignment is not permitted (“Unauthorized Use”). You agree to pay liquidated damages of five (5) times the total fees paid for the Program in the event of your Unauthorized Use, or a minimum of $5,000 if you did not pay fees for the Program, in addition to any legal or equitable remedies the Company may be entitled to pursue. This is not a penalty but an agreed liquidated damages charge for the Unauthorized Use.

You agree that any violation or threatened violation of the intellectual property terms in this Agreement would cause irreparable injury to the Company that may not be adequately compensated by damages, entitling the Company to obtain injunctive relief, without bond, in addition to all legal remedies.

You hereby agree that any infringement of the Company’s intellectual property shall result in an immediate termination of the license granted hereunder, and you shall not be entitled to a refund of any portion of the fees.

Release

Client agrees and understands that by participating in the Program, Client consents to the use of Client’s written statements and images in any media in perpetuity by Company for whatever purpose as Company sees fit, whether commercial or non-commercial.

Client agrees that the Company may use any written statements or images of Client provided to or obtained by the Company while Client is enrolled in the Program. This includes any content Client may publish to social media accounts and online forums, as well as any written statements or images shared about Client’s participation in the Program.

Client waives any right to payment, royalties, or any other consideration for Company’s use of such written statements and images, and Client waives the right to inspect or approve the finished product used by Company. The Company is hereby held harmless and released and forever discharged from all claims, demands, and causes of action which Client, their heirs, representatives, executors, administrators, or any other persons acting on Client’s behalf or on behalf of the Client’s estate have or may have by reason of this authorization.

Text Messages

If you provide the Company your mobile phone number, you are granting your permission to receive Program-specific and marketing text messages, artificial or prerecorded voice messages, and automatic dialing technology for promotional, informational, and account servicing purposes. Message and data rates may apply.

Third-Party Platforms

The Program may be delivered in part through third-party platforms, including but not limited to online course, community, and payment platforms. The Company does not control and is not responsible for the availability, functionality, or performance of these third-party platforms. You may be required to create an account or agree to separate terms of service with one or more third-party platforms in order to participate in the Program.

Security

Security for all personally identifiable information is extremely important to us. Unfortunately, no data transmission over the internet can be guaranteed to be 100% secure. As a result, while we strive to protect your personal information, the Company cannot ensure or warrant the security of any information you transmit via the internet. By transmitting any such information to the Company, you accept that you do so at your own risk.

Users Outside of the United States

The Company operates the Program from offices in the United States. The Company does not represent that materials in the Program are appropriate or available for use in other locations. People who choose to access the Program from other locations do so on their own initiative and are responsible for compliance with local laws, if and to the extent local laws are applicable.

Non-Disparagement

The Parties agree and accept that the only venue for resolving a dispute shall be in the venue set forth below. The Parties agree that they will not engage in any conduct or communications with a third party, public or private, designed to disparage the other. Neither Client nor any of Client’s associates, employees, or affiliates will directly or indirectly, in any capacity or manner, make, express, transmit, speak, write, verbalize, or otherwise communicate in any way (or cause, further, assist, solicit, encourage, support, or participate in any of the foregoing) any remark, comment, message, information, declaration, communication, or other statement of any kind, whether verbal, in writing, electronically transferred, or otherwise, that might reasonably be construed to be derogatory or critical of, or negative toward, the Company or any of its programs, affiliates, subsidiaries, employees, agents, or representatives.

Confidentiality

The Company respects the privacy of its Clients and will not disclose any information you provide except as set forth in this Agreement. As a condition of participating in the Program, you agree to respect the privacy of other Program participants and to respect the Company’s confidential information.

Specifically, you shall not share any information provided by other Program participants outside of the bounds of the Program unless you receive express written permission from such other participants to share the information. Similarly, the content of the Program contains the Company’s proprietary methods, processes, frameworks, forms, templates, and other information. You agree not to share the information provided to you in the Program with anyone other than the Company, its owners and employees, and other Program participants.

Client and Patient Privacy

As a condition of participating in the Program, you agree not to disclose any identifiable client or patient information, including names, images, medical or clinical details, or other personally identifiable information, in the Program community, email communications, submissions for feedback, screenshots, or any artificial intelligence tool or platform used in connection with the Program. You remain solely responsible for complying with all applicable professional, legal, and privacy obligations relating to your own clients or patients, including but not limited to HIPAA and any other applicable state or federal privacy laws. The Company is not responsible for any breach of client or patient privacy resulting from your participation in the Program.

Personal Responsibility

By participating in the Program, you accept personal responsibility for the results of your actions. You agree that the Company has not made any guarantees about the results of taking any action, whether recommended in the Program or not. The Company provides educational and informational resources intended to help participants succeed. You recognize that your ultimate success or failure will be the result of your own efforts, your particular situation, and innumerable other circumstances beyond the control and/or knowledge of the Company.

You also recognize that prior results do not guarantee a similar outcome. The results obtained by others, whether clients of the Company or otherwise, applying the principles included in the Program are no guarantee that you or any other person or entity will be able to obtain similar results.

You agree to take full responsibility for any harm or damage you suffer as a result of the use, or non-use, of the information available in the Program. You agree to use judgment and conduct due diligence before taking any actions or implementing any plans or policy suggested or recommended in the Program.

Materials Provided by You During the Program

The Company does not claim ownership of the information or materials you may provide during the Program (including feedback and suggestions) or post, upload, input, or submit to any website or our associated services (collectively “Submissions”).

However, by posting, uploading, inputting, providing, or submitting your Submission, you are granting the Company, its affiliated companies, and necessary sub-licensees permission to use your Submission in connection with the operation of their internet businesses, including, without limitation, the rights to copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate, and reformat your Submission, and to publish your name in connection with your Submission.

No compensation will be paid with respect to the use of your Submission, as provided herein. The Company is under no obligation to post or use any Submission you may provide and may remove any Submission at any time in the Company’s sole discretion.

By posting, uploading, inputting, providing, or submitting your Submission, you warrant and represent that you own or otherwise control all of the rights to your Submission as described in this section, including all rights necessary for you to provide, post, upload, input, or submit the Submission.

Good Faith

Each party represents and warrants to the other that such party has acted in good faith, and agrees to continue to so act, in the negotiation, execution, delivery, performance, and any termination of this Agreement.

No Warranties

The Company makes no warranties regarding the performance or operation of the Program, including any technological aspects of the Program. The Company further makes no representations or warranties of any kind, express or implied, as to the information, contents, materials, documents, programs, products, books, or services included in or through the Program. To the fullest extent permissible under the law, the Company disclaims all warranties, express or implied, including implied warranties of merchantability and fitness for a particular purpose.

Limitation of Liability

You agree to absolve and do hereby absolve the Company of any and all liability or loss that you or any person or entity associated with you may suffer or incur as a result of use of the Program and/or any information and resources contained in the Program. You agree that the Company shall not be liable to you for any type of damages, including direct, indirect, special, incidental, equitable, or consequential loss or damages for use of the Program.

The information, software, products, and services included or available through the Program may include inaccuracies or typographical errors. Changes are periodically added to the information in the Program. The Company and/or its suppliers may make improvements and/or changes in the Program at any time.

To the maximum extent permitted by applicable law, in no event shall the Company and/or its suppliers be liable for any direct, indirect, punitive, incidental, special, or consequential damages arising out of or in any way connected with the use or performance of the Program, or the delay or inability to use the Program, whether based on contract, tort, negligence, strict liability, or otherwise, even if the Company has been advised of the possibility of damages. Because some states or other jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitations may not apply to you. If you are dissatisfied with the Program or any portion of it, your sole and exclusive remedy is to discontinue using the Program.

Dispute Resolution

If a dispute is not resolved first by good-faith negotiation between the parties to this Agreement, any controversy or dispute related to this Agreement will be submitted to the American Arbitration Association. The arbitration shall occur within ninety (90) days from the date of the initial arbitration demand and shall take place in Montgomery, Alabama, or via telephone. The parties shall cooperate in exchanging and expediting discovery as part of the arbitration process and shall cooperate with each other to ensure that the arbitration process is completed within the ninety (90) day period. The written decision of the arbitrators (which will provide for the payment of costs, including attorneys’ fees) will be absolutely binding and conclusive and not subject to judicial review, and may be entered and enforced in any court of proper jurisdiction, either as a judgment of law or decree in equity, as circumstances may indicate.

Indemnification

You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, agents, and third parties for any losses, costs, liabilities, and expenses (including reasonable attorneys’ fees) relating to or arising out of your use of or inability to use the Program and related services, any user postings made by you, your violation of any terms of this Agreement, your violation of any rights of a third party, or your violation of any applicable laws, rules, or regulations. The Company reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with the Company in asserting any available defenses.

Termination and Access Restriction

The Company reserves the right, in its sole discretion, to terminate your access to the Program and related services, or any portion thereof, at any time, if you become disruptive to the Company or other Program participants, if you fail to follow Program guidelines, or if you otherwise violate this Agreement. You shall not be entitled to a refund of any portion of the fees and shall not be excused from any remaining payments under a payment plan in the event of such termination.

Entire Agreement

This Agreement, along with the Company’s Terms of Use, Privacy Policy, and Disclaimer, constitutes the entire agreement between you and the Company with respect to the Program, and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and the Company with respect to the Program. A printed version of this Agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this Agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

Severability

If any term or provision of this Agreement is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other term or provision of this Agreement or invalidate or render unenforceable such term or provision in any other jurisdiction.

Waiver

No waiver by any party of any of the provisions of this Agreement shall be effective unless explicitly set forth in writing and signed by the party so waiving. Except as otherwise set forth in this Agreement, no failure to exercise, or delay in exercising, any right, remedy, power, or privilege arising from this Agreement shall operate or be construed as a waiver thereof, nor shall any single or partial exercise of any right, remedy, power, or privilege preclude any other or further exercise thereof.

Force Majeure

The Company shall not be liable or responsible to you, nor be deemed to have defaulted or breached this Agreement, for any failure or delay in fulfilling or performing any term of this Agreement when and to the extent such failure or delay is caused by or results from acts or circumstances beyond the reasonable control of the Company, including, without limitation, acts of God, flood, fire, earthquake, explosion, governmental actions, war, invasion, or hostilities, terrorist threats or acts, riot or other civil unrest, national emergency, revolution, insurrection, epidemic, lock-outs, strikes or other labor disputes, or restraints or delays affecting carriers, or telecommunication breakdown or power outage.
